3. The Clerk shall TRANSFER this case to the Southern District of New York, pursuant

to 28 U.S.C. § 1406(a), for a decision on the other arguments the Defendant advanced in the Motion to Dismiss.

4. The Clerk of our Court shall CLOSE this case.
